These Terms & Conditions (“Terms”) govern your use of the website, products and services provided by Exatorial Software Private Limited (“Exatorial”, “we”, “us”), accessible at exatorial.com. By using our website, creating an account, signing an order form or engaging our services, you agree to these Terms.

1. What we provide

Exatorial builds and operates software. This includes ProHQ, our process-management platform offered as software-as-a-service, and the Exatorial Education platform. The specific scope, deliverables, seats and pricing for any engagement are set out in your order form, proposal or invoice, which together with these Terms form your agreement with us.

2. Accounts

• You must provide accurate information and keep your credentials secure.
• You are responsible for activity under your organisation's accounts.
• A single seat may not be shared across multiple users unless agreed.

3. Fees and payment

• Fees, billing frequency and counts are as agreed in your order form, proposal or invoice. All fees are exclusive of applicable taxes (including GST), which are charged additionally where required.
• Payments are processed securely through our payment partner Razorpay. We do not store your payment instrument details.
• Invoices are due as per the payment terms stated on them.

4. Cancellations and refunds

Cancellations and refunds are governed by our Cancellation & Refund Policy.

5. Your data

Your business data belongs to you. You grant us the limited rights needed to host, process and display it in order to provide our products and services. Our handling of personal information is described in the Privacy Policy.

6. Acceptable use

• No unlawful, infringing or harmful content or activity.
• No attempts to breach, probe or overload our services.
• No reselling of our products or services without a written agreement.

7. Intellectual property

Our platforms, their design, code and documentation remain the property of Exatorial Software Private Limited, except for work-product assigned to you under a signed services agreement. “Exatorial”, “ProHQ” and related marks are trademarks of the company and/or its founders. The content you create using our products remains yours.

8. Confidentiality

Each party will protect the other's confidential information with at least the care it uses for its own, and use it only to perform under these Terms.

9. Availability and support

We aim for high availability but do not guarantee uninterrupted service. Planned maintenance is notified in advance where practical. Support is provided over email.

10. Disclaimer and limitation of liability

Our products and services are provided “as is”. To the maximum extent permitted by law, our aggregate liability under these Terms is limited to the fees paid by you in the twelve months preceding the claim. We are not liable for indirect or consequential losses.

11. Termination

You may stop using our services at any time. Either party may terminate for material breach not cured within 30 days of notice. On termination, your data is available for export for 30 days, after which it is deleted as per the Privacy Policy.

12. Governing law and jurisdiction

These Terms are governed by the laws of India. Courts at New Delhi, India shall have exclusive jurisdiction.

13. Changes

We may update these Terms; material changes will be notified. Continued use after changes constitutes acceptance.
